  1. Acceptance of Terms

1.1 General

We are FIXD Automotive, Inc. (“FIXD”). A corporation registered in the State of Delaware under company number 47-1869128. Our registered office is at 999 Peachtree St NE, Suite 840, Atlanta, GA 30309. Our registered ABN number is 46586879770 (“FIXD”, “we“, “us” or “our“).

FIXD provides its Hardware and Service (each as defined below) to you through its mobile applications, its website located at https://www.fixdapp.com and https://www.fixd.com/ (the “Site”) and via other channels, subject to this Terms of Service agreement (“TOS”). 

By purchasing the Hardware, or by accessing or using the Service or Site, you acknowledge that you have read, understood, and agree to be bound by this TOS. If you do not agree with this TOS, you must not accept this TOS and must not purchase the Hardware or use the Service. 

We specifically draw your attention to Section 9 (Liability) and Section 10 (Indemnity) of this TOS which explains the extent of our liability to you for any losses you may suffer in connection with the use of the Hardware and/or Service.

1.2 Changes to these Terms 

We reserve the right to change or modify portions of this TOS at any time to reflect changes in law or where reasonably necessary to protect FIXD’s legitimate interests (including the addition or removal of certain services) or to deal with additional features which we introduce to the Hardware or Service. If we do this, we will post the changes on this page and will indicate at the top of this page the date these terms were last revised. We will also notify you, whether through the Service user interface or in an email notification. 

Any such changes will become effective no earlier than fourteen (14) days after they are posted, except that changes addressing new functions of the Service or changes made for legal reasons will be effective immediately. 

Your continued use of the Service or Hardware after the date any such changes become effective constitutes your acceptance of the new TOS. If you do not accept the notified changes, you must not continue to use the Service. 

Please print out or save a copy of this TOS and any emails from us for your records, as we will not save or file a copy for you. These terms are only available in English.

  1. Description of Service and Hardware

The “Service” includes (a) the Site, (b) FIXD’s vehicle information and related services, and (c) all mobile applications and other software (including the Software, as defined below), data, reports, text, images, sounds, video, and content made available through any of the foregoing (collectively referred to as the “Content”). 

The “Hardware” means FIXD’s device that may be connected to your vehicle in connection with the Service. 

Any updates or new features added to or augmenting the Service or the Hardware are also subject to this TOS.  To keep the Software up-to-date, you agree that we may automatically provide you with such updates without your further consent or notice to you. 

Note that in order for the Service to function: the mobile device onto which the FIXD application is installed (the “Mobile Device”) must be located in the vehicle associated with your Service and the Hardware must be properly installed in your vehicle. The Mobile Device must also have adequate network and data service in the location where needed.

  1. Purchase of Hardware

Our pages on the Site will guide you through the steps you need to take to place an order for Hardware. Our order process allows you to check and amend any errors before submitting your order to us. Please take the time to read and check your order at each page of the order process.

We will confirm our acceptance to you by sending you an e-mail that confirms your order has been accepted.  Once we send this order acceptance email, a binding contract will be formed between you and us for the purchase of the Hardware and subject to this TOS.

All prices on the Site are inclusive of delivery charges and GST unless otherwise stated. The costs of delivery will be as displayed to you on our Site and are based on the total price of all Hardware ordered. The complete price (and currency) for goods ordered including GST and delivery charges will be clearly displayed prior to final checkout.

We will deliver the Hardware to the address specified by you when you placed your order as soon as reasonably possible. 

If you wish to make a change to your order for the Hardware, please contact us. We will let you know if the change is possible. Otherwise, you can wait for us to deliver your Hardware and return the Hardware in accordance with our Returns and Warranty policy at this link.

  1. General Conditions / Access and Use of the Service and Hardware

4.1 Obligations for use

Subject to the terms and conditions of this TOS, you may access and use the Service and Hardware only for lawful purposes. 

You shall not use our Service or Hardware (and we will not be liable for your use of the Service and Hardware) in connection with (i) cars with modified engine or electronic control systems, or (ii) cars of any make, model or year that we do not support, as set out on our website.

 All rights, title and interest in and to the intellectual property rights subsisting in the Service, the Hardware,  their components and the functionality and interconnectivity of the Service and Hardware will remain with and belong exclusively to FIXD. 

You shall not: (a) sublicense, resell, rent, lease, transfer, assign, time-share or otherwise commercially exploit or make the Service available to any third party; (b) use the Service or the Hardware in any unlawful manner (including, without limitation, in violation of any data, privacy or export control laws) or in any manner that interferes with or disrupts the integrity or performance of the Service, the Hardware or their components, (c) modify, adapt or hack the Service or the Hardware to, or otherwise attempt to, gain unauthorised access to the Service, the Hardware or their related systems or networks, or (d) use the Service or Hardware to obtain or attempt to access any materials or information through any means not intentionally made available or provided for through the Service or Hardware. You shall comply with any codes of conduct, policies or other notices FIXD provides you or publishes in connection with the Service and the Hardware, found at this link, and you shall promptly notify FIXD at privacy@fixdapp.com if you learn of a security breach related to the Service.

Recognising the global nature of the internet, you agree: 

  • to comply with all rules and laws applicable to you in the country in which you are based (and where you intend to use the Service and Hardware) and which apply to your use of them; 
  • that you download the Software to your Mobile Device at your sole risk.

4.2 Software licence and Intellectual Property 

All software that may be made available by FIXD in connection with the Service, such as FIXD’s mobile applications and any software embedded on or within the Hardware (“Software”) contains proprietary and confidential information and coding of FIXD that is protected by applicable intellectual property and other laws. 

Subject to the terms and conditions of this TOS, FIXD hereby grants you a personal, revocable, non-transferable, non-sublicensable and non-exclusive right and licence to use the object code of any Software solely in connection with the Service (and in the case of Software embedded on or within the Hardware, you may only use such Software on or within the Hardware), provided that (save as permitted by applicable law) you shall not (and shall not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, or sell, assign, sublicense or otherwise transfer any right in any Software. You agree not to access the Service by any means other than through the interface that is provided by FIXD for use in accessing the Service. 

The FIXD name and logos are trade marks and service marks of FIXD (collectively the “FIXD Trade marks”). Other company, product, and service names and logos used and displayed via the Service may be trade marks or service marks of their respective owners who may or may not endorse or be affiliated with or connected to us. Nothing in this TOS or the Service should be construed as granting, by implication, estoppel, or otherwise, any licence or right to use any of the FIXD Trade marks displayed on the Service, without our prior written permission in each instance. All goodwill generated from the use of FIXD Trade marks will inure to our exclusive benefit. Any rights not expressly granted herein by FIXD are reserved and no licence or right to use any trade mark of FIXD or any third party is granted to you in connection with the Service or Hardware. 

Software, Hardware and the transmission of applicable data, if any, is subject to United States export controls. No Hardware or Software may be downloaded from the Service or otherwise exported or re-exported in violation of U.S. export laws. 

4.3 Your Feedback, Content, Account and Data

You are solely responsible for all information, feedback, suggestions, text, content and other materials that you provide to FIXD in connection with, or relating to the Service or the Hardware (“Your Feedback”). By providing Your Feedback, you hereby grant FIXD a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable and transferable licence to use, modify, reproduce, distribute, display, and publish Your Feedback. 

You are solely responsible for all data, information, text, content and other materials that you upload, post, deliver, provide or otherwise transmit or store (hereafter “post(ing)”) through, in connection with, or relating to the Service or the Hardware (“Your Content”). 

You are responsible for maintaining the confidentiality of your login, password and account and for all activities that occur under your login or account. 

FIXD reserves the right to access your account in order to respond to your requests for technical support. FIXD has the right, but not the obligation, to monitor the Service, Hardware, Content or Your Content. You further agree that FIXD may remove or disable any Content at any time for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such Content), or for no reason at all provided FIXD will not remove or disable content in a manner that materially degrades the overall features or functionality of the Service or Hardware during your then current subscription term. 

FIXD may compile General Data based on Your Content and use of the Service and Hardware. For more information about our use of the personal information collected by the Hardware and Service, please see our Privacy Policy at this link.

4.4 Security of the Service and Hardware

FIXD uses reasonable security measures to protect the data we receive via the Service and Hardware. However, we cannot guarantee that third parties will never defeat our security measures. You acknowledge that you are using the Service and Hardware and sharing information at your own risk.

4.5 Mobile Services

The Service includes certain services that are available via a mobile device, including (i) the ability to upload data to the Service via a mobile device, (ii) the ability to browse the Service and the Site from a mobile device and (iii) the ability to access certain features through an application downloaded and installed on a mobile device (collectively, the “Mobile Services”). To the extent you access the Service through a mobile device, your wireless service carrier’s standard charges, data rates and other fees may apply. 

In addition, downloading, installing, or using certain Mobile Services may be prohibited or restricted by your carrier, and not all Mobile Services may work with all carriers or devices. 

By using the Mobile Services, you agree that we may communicate with you regarding FIXD and other entities by SMS, MMS, text message or other electronic means to your mobile device for the purpose of providing the applicable service and that certain information about your usage of the Mobile Services may be communicated to us. 

In the event you change or deactivate your mobile telephone number, you agree to promptly update your FIXD account information to ensure that your messages are not sent to the person that acquires your old number. In the event that you fail to comply with the obligation to promptly update your FIXD account information when changing or deactivating your mobile telephone number, you accept full responsibility for any of your messages which may not be delivered or may be sent to the person that acquires your old number.

4.6 The Service is for personal use only 

Unless otherwise expressly authorised in writing by us or in the Service, you agree not to display, distribute, license, perform, publish, reproduce, duplicate, copy, create derivative works from, modify, sell, resell, exploit, transfer or upload for any commercial purposes, any portion of the Service, use of the Service, or access to the Service. The Service is for your personal use. 

  1. Payment

To the extent the Service, Hardware or any portion thereof is made available for any fee, you will be required to select a payment plan or make a payment and provide FIXD information regarding your credit card or other payment instrument. The payment methods accepted by FIXD are set out on this link.

You represent and warrant to FIXD that such information is true and that you are authorised to use the payment instrument. You will promptly update your account information with any changes (for example, a change in your billing address or credit card expiration date) that may occur. You agree to pay FIXD the amount that is specified in the payment plan in accordance with the terms of such plan and this TOS.

If your payment plan involves subscription payments, you hereby authorise FIXD to bill your payment instrument in advance on a periodic basis in accordance with the terms of the applicable payment plan until you terminate your account, and you further agree to pay any charges so incurred.

If you dispute any charges, you must let FIXD know within sixty (60) days after the date that FIXD charges you. 

We reserve the right to change FIXD’s prices. If FIXD does change prices, FIXD will provide you with notice of the change, at least thirty (30) days before the change is to take effect. Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the changed amount. You may reject these changes by cancelling your subscription Service at no additional cost to you at any time (see Cancellation in Section 7 below). 

Note that you (and not FIXD) are responsible for any charges or fees payable to third parties in connection with the Service, such as emergency responders.

  1. Representations and Warranties

You represent and warrant to FIXD that: (i) you have full power and authority to enter into this TOS; (ii) you own all Your Content or have obtained all permissions, releases, rights or licences required to engage in your data collection using the Hardware, posting and other activities (and allow FIXD to perform its obligations) in connection with the Service and Hardware without obtaining any further releases or consents; (iii) Your Content and other activities in connection with the Service, and FIXD’s exercise of all rights and licence granted by you herein, do not and will not violate, infringe, or misappropriate any third party’s copyright, trademark, right of privacy or publicity, or other personal or proprietary right, nor does Your Content contain any matter that is defamatory, obscene, unlawful, threatening, abusive, tortious, offensive or harassing; and (iv) you are eighteen (18) years of age or older.

  1. Cancellation / Termination 

7.1 Your right to cancel your purchase of the Hardware

You have the right to change your mind and cancel your purchase of the Hardware within 30 days from the date of delivery – subject to returning the Hardware without damage. Please follow our 30 Day Satisfaction Guaranteed Return Policy which you can access on this link

7.2 Your right to cancel or terminate the Service 

You have the right to cancel or terminate the Service and your account at any time in accordance with the cancellation and termination procedures set out on the Site on this link

7.3 FIXD rights to terminate 

FIXD reserves the right to discontinue, temporarily or permanently, the Service or Hardware (or any part thereof) if reasonably necessary to protect its legitimate interests including where necessary in FIXD’s reasonably opinion to comply with applicable laws or to prevent its other customers from suffering harm.  FIXD reserves the right to refuse any and all current and future use of the Service, suspend or terminate your account (or any part thereof) or use of the Service and remove and discard any of Your Content in the Service if reasonably necessary to protect its legitimate interests including if FIXD believes that you have violated this TOS, if FIXD stops providing any component of the Services or where necessary in FIXD’s reasonable opinion to comply with applicable laws or to prevent its other customers from suffering harm. FIXD shall not be liable to you or any third party for any modification, suspension or discontinuation of the Service or Hardware. 

FIXD will use good faith efforts to contact you to warn you prior to suspension or termination of your account by FIXD. All of Your Content on the Service (if any) may be permanently deleted by FIXD upon any termination of your account in its sole discretion. 

If FIXD terminates your account without cause and you have signed up for a subscription Service, FIXD will refund the pro-rated, unearned portion of any amount that you have prepaid to FIXD for such subscription Service. However, all accrued rights to payment and the terms of Section 5-14 shall survive termination of this TOS.

  1. Changes to the Services 

FIXD reserves the right to modify or make changes to the Service or Hardware (or any part thereof). Changes may be made for legal, regulatory, technical, operational or commercial reasons. Changes to the Service might, for example, be made for security reasons, to enhance existing features, to add additional features, or to ensure the ongoing operability of the Service. We will use reasonable efforts to notify you in advance (on our site) of any changes that may materially impact on the features or functionality of the Service.

  1. Liability

9.1 Failure to comply with a statutory guarantee

 

If FIXD fails to comply with a statutory guarantee which by law may not be excluded, then to the extent the law permits FIXD to limit its liability in respect of such failure, FIXD’s liability, is limited to: (i) in the case of goods, replacement or the cost of replacing the goods or supply of equivalent goods or repair or the cost of repairing the goods, or (ii) in the case of services, supplying the services again or payment of the cost of having the services supplied again.

9.2 Limit on FIXD’s liability

Subject to clauses 9.1 and 9.3 and to the extent permitted by law, the maximum liability of either party to the other party for breach of contract, negligence or otherwise in connection with the Hardware and Services supplied or to be supplied under this agreement or otherwise at law or in equity is limited to $100.00. Provided the limitation and exclusions of liability outlined in this clause do not apply to liability for any:

  1. wilful misconduct or fraud; 
  2. death or personal injury; 
  3. breach by you of your obligations in clause 4 or 5;
  4. breach by you of an obligation of confidence; or
  5. obligation that arises in accordance with clause 10. 

9.3 Liability for consequential loss

To the extent permitted by law, each party excludes all liability for losses that are indirect, special or incidental losses, loss of profit, loss of revenue, loss of goodwill or credit, exemplary or punitive damages, economic loss, loss of business reputation, loss or denial of opportunity, loss of customers, loss of sales, loss of production or loss arising from a claim by a third party (including any form of penalty or compensation claim from a third party), whether arising in contract, tort (including negligence), equity, statute or otherwise. 

 

  1. Indemnification

You shall defend, indemnify, and hold harmless FIXD from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, arising or resulting from any of Your Content  or use or misuse of the Service or Hardware in a manner that is in breach of the TOS. FIXD shall provide notice to you of any such claim, action or demand. FIXD reserves the right to assume the exclusive defence and control of any matter which is subject to indemnification under this section. In such case, you agree to cooperate with any reasonable requests assisting FIXD’s defence of such matter.

  1. Waiver

The failure of a party to exercise or enforce any right or provision of this TOS shall not be a waiver of that right. You acknowledge that this TOS is a contract between you and FIXD, even though it is electronic and is not physically signed by you and FIXD, and it governs your use of the Service and Hardware and takes the place of any prior agreements between you and FIXD related to the subject matter hereof.

  1. Assignment

You may not assign this TOS without the prior written consent of FIXD, but FIXD may assign or transfer this TOS, in whole or in part, to another organisation.

  1. Governing Law

This TOS shall be governed by the laws of Victoria, Australia, and the parties submit to the exclusive jurisdiction of the courts of Victoria, Australia. 

  1. Privacy

Please read the Privacy Policy to understand how FIXD collects and uses personal information. By using the Service or the Hardware, you consent to our collection and use of personal data as outlined therein.

  1. Severability 

Each of the paragraphs of this TOS operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

Returns and Warranty

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law.

You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage.

You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

Our return policies and warranties outlined below do not limit the guarantees under the Australian Consumer Law.

30 Day Satisfaction Guaranteed Return Policy*

Applicable Products: FIXD Sensor

If you are unhappy with your FIXD Sensor (“product”) for any reason, request a full refund within 30 days after the date of delivery of the product.

To qualify for a refund for your product, the following conditions must be met:

  • Within 30 days of you receiving delivery of the product, you must contact us to request a return authorisation and return label. When making your request, the order number and your delivery address (including  postcode) will be required. The order number will either have the word GO, GU, UP or FIXD at the start followed by 6 numbers, for example “FIXD123456”.
  • Request to return a FIXD Sensor:
    • For orders that begin with “FIXD”, request an RMA here.
    • For orders that begin with “GU”, request an RMA  here.
    • For orders that begin with “GO”, request an RMA  here.
    • For orders that begin with “UP”, request an RMA here.
    • If there are issues requesting a return label, contact the support team by submitting a ticket here.
    • The product must be returned to FIXD Automotive undamaged and in good condition (not physically damaged, broken, or altered) and, to the extent possible, in its original packaging.

Additional terms and conditions:

  • Non-standard delivery costs, shipping fees, lifetime and limited warranties, taxes, and customs fees for the return are non-refundable.
  • The product must have been purchased from FIXD Automotive or an approved affiliate/re-seller.
  • Clearance Items are not included in this return policy. See “All Sales Final & Clearance Sales” below for terms and conditions.

*All Holiday orders for products made during the period 20 November to 21 December each year can be returned for a refund 30 days after the delivery date or until 31 February that year (whichever date is later). For all purchases made on or after 22 December each year, the standard 30-day return policy takes effect.

1 Year Limited Warranty

Applicable Products: FIXD Sensor, VIZR

Products purchased from FIXD Automotive have a limited warranty of 1 year from the date of delivery of the product to you (the “Warranty Period”).

FIXD will replace any damaged or inoperative product during its Warranty Period by sending you a new replacement product.  A replacement product will have the remaining Warranty Period from the delivery date of the original product which it has replaced.

The Limited Warranty does not cover the product in which problems were caused by:

  • Malfunctions or damage not resulting from defects in manufacturing or in materials.  This includes (without limitation) damage arising from use of the product otherwise that in accordance with our Terms of Service and guidelines on use of the product.

To obtain the Limited Warranty, the following steps must be taken:

  • The defect must be brought to the attention of the FIXD support team by accessing the link here and submitting a ticket prior to the end of the 1 year Warranty Period ensuring that steps are taken to diagnose the issue with the support team.
  • The product must be returned with the pre-paid return label provided by the support team

Additional FIXD Limited Warranty terms and conditions:

  • Provided that the product is returned in accordance with these terms, it will be replaced with a new product. No refunds will be given under the Limited Warranty.
  • The product cannot be intentionally altered in any way. If there is any indication that it has been altered, modified or changed in any way, FIXD can deny the warranty claim.
  • The 1 year Warranty Period is only applicable from the date of delivery for the original product order. This period does not restart when a replacement product is delivered but rather that replacement product is covered for the remainder of the original product’s Warranty Period.
  • The product must be purchased from FIXD Automotive or from an approved affiliate/reseller.
  • If you are an affiliate/reseller, and you wish to return the product, you must be approved by FIXD Automotive, and provide proof of approval upon request.

Disclaimers: The acceptance or denial of any warranty claim is left to the discretion of FIXD. Any purchase prior to the date of the last update will be left to the discretion of FIXD, or the updated policies will stand. FIXD has the right to investigate any and all cases through previously acquired information, such as order information, FIXD account information, and other information volunteered to us. Any questions or comments about these policies should be addressed prior to the use of them.

Cancellation Policy

Applicable Product: Premium Subscription

Cooling Off Period

Cancellation Right on Premium Subscription Commencement: If you have purchased a Premium Subscription from us, you have 30 days from the date on which you initially pay for the Premium Subscription to request to cancel it and receive a refund of the subscription charges.  Following expiry of this 30 day period, you can still cancel your Premium Subscription but you will not receive a refund.

Cancellation Right on Premium Subscription Renewal:  If you have purchased a Premium Subscription from us, it will automatically renew annually.  You can cancel the renewal of your Premium Subscription at any time before it renews in accordance with your cancellation right below.  Additionally, you have 14 days from the renewal of your Premium Subscription to cancel it and receive a refund of your renewal subscription charges. Following expiry of this 14 day period, you can still cancel your Premium Subscription but you will not receive a refund. 

Your cancellation and request for a refund within the timescales set out above will result in the immediate termination of the Premium Subscription and your access to the service accessible from that Premium Subscription will cease immediately. 

If your product was included at no cost along with the Premium Subscription, you must return the product to us either during the trial period or within 30 days of the initial charge date to cancel the trial or request a refund for the FIXD Premium Subscription.

General Cancellation Right 

Your subscription can be cancelled at any time by at this link or by emailing support@fixdapp.com . Cancelling the subscription outside of the Cooling Off Periods set out above, will stop all future charges for the subscription.  There will be no refund of the subscription fees for this cancellation. You will have access to the subscription until the end of the billing period. 

Note: This policy does not apply to subscriptions to our services which you purchase through Apple or Google. We are unable to process refunds for Apple or Google subscriptions.  If you have purchased your subscription through Apple, or Google please follow their cancellation process.

Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalised have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of this Disclaimer:

  • Company (referred to as either “the Company”, “We”, “Us” or “Our” in this Disclaimer) refers to FIXD Automotive, 75 5th St NW Suite 2120 Atlanta, Georgia 30308.
  • Service refers to the Website.
  • You means the individual accessing the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
